Senior Counsel
Reporting to the Chief Legal and Administrative Officer, the Senior Counsel supports the company by delivering excellent and efficient legal services.
Essential Functions and Responsibilities:
- Draft, review, and negotiate various agreements including but not limited to LOIs, NDAs, PPAs, project development agreements, vendor contracts, master service agreements, power purchase agreements, license agreements, tax equity partnerships, M&A documentation and other financing arrangements.
- Provide legal advice and support on a wide range of general company matters.
- Manage and mitigate legal risk by developing and implementing appropriate policies, procedures, and in-house training programs.
- Support corporate governance and board matters, including preparing resolutions, consents, minutes, and other corporate documents.
- Collaborate with cross-functional teams to ensure that legal and business objectives are aligned and met.
- Monitor and keep the company informed of relevant legal developments, regulatory changes, and industry trends.
- Manage external legal counsel, as needed, to ensure cost-effective and high-quality legal representation.
- Assist with any other legal or compliance-related matters, as needed.
- Other duties as assigned.
Required Competencies (Knowledge, Skills, and Abilities):
- Expertise, preferably in the renewable energy sector, with financing, tax equity partnerships, M&A and commercial agreements
- Demonstrated expertise in commercial contracting, corporate law, financing arrangements, and compliance matters.
- Exceptional communication, negotiation, and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders.
- Strong analytical, problem-solving, and organizational skills, with the ability to manage multiple projects simultaneously.
- A proactive, business-minded approach to problem-solving, with a commitment to providing practical legal advice and solutions.
- Careful attention to detail and a strong work ethic.

Physical Demands:
- Standard office environment.
Expected Hours of Work:
- Full-time.
Job Location and Travel:
- Standard NY Office hybrid schedule, occasional travel as needed
Required Education and Experience:
- Juris Doctor (J.D.) degree from an accredited law school.
- Minimum of 6 years of legal experience, preferably with a combination of law firm and in-house experience.
Additional Eligibility Qualifications:
- Active membership in good standing in at least one state bar.
- Experience working with energy companies, especially in the solar/ renewable sector. Familiarity with power purchase agreements and the financing of the development of commercial solar projects a plus.
